Значение организационных договоров в системе гражданского права

Аннотация

Рассматривается роль организационных договоров в современном гражданском праве. К формированию организационных договоров приводит существование организационных потребностей общества. Организационные договоры являются индивидуальным регулятором организационных отношений; юридическим фактом, порождающим, изменяющим или прекращающим организационные правоотношения; определяющим фактором развития законодательства в области организации взаимодействия участников гражданского оборота.

The value of organizational contracts in the civil law system

Abstract

Organizational relations must be regulated because of the existence of organizational needs of society. Organization has a principal value for the development of society as a whole, because the meaning of creation and development of any society is coordinating the activities of its members, ensuring their interaction with each other to produce a better result than the one that can be achieved by individuals. Organizational needs are defined in modern science as objectively existing needs in the consumption of organizational wealth in order to create conditions for normal life of individuals. The essence of organization is not limited to only administrative activities because organization can also manifest itself in the coordination activities and self-organizing entities. Organization of material relations is ensured to some extent by the existence of civil law rules determining mandatory rules to be followed by the participants of civil transactions. Organizational relations are included in the civil law subject and regulated by it. Civil law regulates organizational relations which acquire the status of organizational legal relations. Civil law, acting as regulatory control of organizational relations, is not always able to adequately meet the need for legal regulation of organizational relations. In the public circulation there are situations and relations between subjects which require a more flexible (individual) regulation of organizational relations by the participants of these relations. The parties may regulate relations which are not regulated by law through contracts or may even adapt a legislative regulation to their needs. Existence of organizational needs of society leads to the formation of organizational contracts. The author examines the modern significance of organizational contracts in civil law. Firstly, organizational contracts are individual organizational control of organizational relations. Secondly, organizational contracts are one of the most common legal facts which give rise to, modify or discontinue organizational relations. In this sense, organizational contracts, along with material contracts, provide the dynamics of organizational relations in general. Thirdly, one can speak about organizational contracts as a development factor of legislation in the field of interaction of participants of civil turnover, because they lay the foundation for future civil law rules governing organizational relations. In this way, organizational contracts have a multidimensional value in the modern civil law system.
